Mama Llama Terms and Conditions

Effective Date: June 1, 2026

These Terms and Conditions (“Agreement”) govern the purchase, access, and use of recipes, digital downloads, courses, educational materials, videos, and other digital products (“Products”) sold or provided by Mama Llama (“Company,” “Mama Llama,” “we,” “our,” or “us”).

By purchasing, downloading, accessing, or using any Product, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

1. Intellectual Property

All Products and materials provided by Mama Llama, including recipes, written instructions, instructional materials, videos, photographs, graphics, downloads, course content, worksheets, guides, and other original content, are owned by or licensed to Mama Llama and are protected by applicable intellectual property laws.

Purchasing a Product does not transfer ownership of the Product or its contents to you.

Instead, your purchase grants you a limited, non-exclusive, non-transferable license to access and use the Product only as expressly permitted by these Terms.

Nothing in these Terms is intended to claim exclusive ownership over general baking methods, common ingredients, ideas, techniques, or other material that is not protectable under applicable law.

2. Personal Use License

Unless Mama Llama expressly authorizes otherwise in writing, all Products are licensed for personal, non-commercial use only.

For personal use, you may:

Personal use does not include selling products made using the recipe or using the Product as part of a business.

3. Commercial Use Is Prohibited Without Prior Written Approval

Purchasing a recipe does not include commercial-use rights.

Without prior express written approval from Mama Llama, you may not:

Commercial use is prohibited unless and until you receive express written authorization from Mama Llama.

Purchasing the Product, contacting Mama Llama, submitting a request, or discussing possible commercial use does not constitute permission.

4. Cottage Baker Commercial-Use Requests

Mama Llama may, at its sole discretion, grant limited commercial-use permission to qualifying cottage bakers and home-based baking businesses.

Commercial permission is not included with your purchase and is never guaranteed.

If you would like to sell baked goods made using a Mama Llama recipe, you must contact Mama Llama before beginning any commercial use.

Your request must include:

You are responsible for providing complete and accurate information.

Mama Llama may deny, limit, suspend, or revoke commercial permission as permitted by the applicable authorization if information concerning your identity, business, location, usernames, sales channels, geographic market, branding, or intended use is false, incomplete, misleading, or materially changes after approval.

5. Geographic Location and Market Considerations

Geographic location matters when Mama Llama evaluates a commercial-use request.

Mama Llama may consider your city and state, geographic sales territory, pickup or delivery area, proximity to Mama Llama’s current or planned operations, potential market overlap, manner of selling, and other legitimate business considerations.

Mama Llama reserves the right, in its sole discretion, to approve or deny a commercial-use request based on these considerations.

Purchasing the recipe does not create a right, entitlement, or expectation that commercial permission will be granted.

6. Commercial Permission Is Strictly Limited to Approved Cottage Bakery Use

Unless Mama Llama expressly agrees otherwise in a separate written agreement, commercial permission is strictly limited to the approved cottage bakery or home-based baking business.

Approved cottage bakery use is intended for small-scale, direct-to-consumer sales by the approved baker.

Approval does not authorize wholesale, manufacturing, food-service, private-label, distribution, third-party resale, franchising, or sublicensing.

An approved cottage baker may not sell, supply, distribute, consign, or otherwise provide products made using the recipe to another business for resale, service, or distribution.

This includes supplying products to restaurants, cafés, coffee shops, hotels, resorts, casinos, grocery stores, retail stores, commercial bakeries, distributors, wholesalers, food-service businesses, or other third-party businesses.

Any such arrangement requires separate express written authorization from Mama Llama.

7. Approval Is Specific to the Approved Baker and Business

Commercial permission applies only to the specific:

Commercial permission may not be transferred, assigned, shared, sublicensed, sold, or extended to another person, business, account, location, territory, or sales channel.

If an approved baker materially changes their business name, ownership, branding, username, social-media account, physical location, geographic sales territory, sales channels, business model, or method of distribution, they must contact Mama Llama and obtain written approval for the change before continuing commercial use under the prior authorization.

8. Written Approval Is Required

Commercial permission is valid only when Mama Llama provides express written authorization.

Silence does not constitute approval. Purchasing the recipe does not constitute approval. Submitting a request does not constitute approval.

Mama Llama may place reasonable limitations or conditions on an individual commercial approval, including geographic, branding, sales-channel, production, or use limitations.

9. No Mama Llama Branding, Product Names, Brand Identity, or Affiliation

Commercial permission to use a Mama Llama recipe grants permission only to use the applicable recipe in the manner expressly authorized.

It does not grant any right or license to use Mama Llama’s branding, brand identity, product names, slogans, logos, trademarks, trade dress, or other brand identifiers.

Without separate express written authorization, purchasers and approved commercial users may not use:

These names and identifiers may not be incorporated into or used as part of a purchaser’s or commercial user’s:

Purchasers and approved commercial users also may not adopt or use branding that is confusingly similar to Mama Llama’s branding in a manner that is likely to cause confusion regarding source, sponsorship, affiliation, approval, or endorsement, to the extent such use may lawfully be restricted.

For avoidance of doubt, permission to make or sell cinnamon rolls using an approved Mama Llama recipe does not constitute permission to operate a business using “Center Bite,” “Center Bite Cinnamon Rolls,” “Llama Rolls,” or another Mama Llama brand or product identifier.

Approved commercial users must create and maintain their own independently created business name, product branding, identity, logo, packaging, and marketing.

Commercial approval does not create or imply a franchise, partnership, joint venture, employment, agency, sponsorship, endorsement, or other affiliation with Mama Llama.

10. No Resale, Sharing, or Distribution of Products

Your purchase is for your individual use.

You may not copy, distribute, share, email, upload, publish, sell, give away, or otherwise make the recipe or Product available to another person.

You may not include the Product in another course, membership, cookbook, download, subscription, educational product, website, group, forum, file-sharing service, or other platform.

Commercial approval to sell finished baked goods does not grant permission to reproduce, distribute, sell, teach, or share the underlying recipe or instructional materials.

11. No Teaching, Training, or Educational Redistribution

Unless expressly authorized in writing, you may not use Mama Llama Products to:

Any instructional or educational licensing requires separate written authorization.

12. Employees and Assistants

Purchasing a Product does not give you permission to distribute copies of the recipe or course materials to employees, contractors, assistants, or other individuals.

If commercial permission reasonably requires employees or assistants to participate in production, permitted access to protected or confidential materials must be expressly authorized by Mama Llama and remains subject to any conditions contained in that authorization.

The purchaser remains responsible for compliance with the applicable commercial authorization.

13. Artificial Intelligence and Digital Platforms

You may not upload, submit, provide, or intentionally make available any non-public portion of a Mama Llama Product to artificial-intelligence platforms, machine-learning systems, recipe databases, content repositories, or similar services for redistribution, publication, dataset creation, model training, or reproduction of the Product without prior written consent.

Nothing in this section restricts uses that cannot lawfully be restricted.

14. No Transfer of Rights

Your purchase and license are personal to you.

You may not transfer your Product license or account, share login credentials, allow another person to access purchased materials through your account, resell access to the Product, or sublicense the Product except where expressly authorized in writing.

15. Unauthorized Use and Enforcement

Unauthorized copying, distribution, reproduction, publication, commercial use, or unauthorized use of Mama Llama branding may constitute a breach of these Terms and may also implicate rights available under applicable law.

To the extent permitted by applicable law, Mama Llama reserves the right to:

Nothing in these Terms creates intellectual-property rights, damages, or remedies that do not otherwise exist under applicable law.

16. Independent Recipes and General Baking Concepts

Nothing in these Terms prevents another baker or business from independently developing its own cinnamon-roll recipe, using common baking ingredients or techniques, or using another recipe that the person is legally authorized to use.

These Terms do not claim ownership over general ideas, common ingredients, baking techniques, methods, or other material that is not protectable under applicable law.

The restrictions in these Terms concern the license, contractual obligations, protected materials, branding, and other rights associated with Mama Llama Products.

17. Compliance With Cottage Food and Other Laws

Commercial approval from Mama Llama does not constitute governmental authorization to operate a cottage-food or other food business.

Approved bakers are solely responsible for determining and complying with all applicable laws, regulations, licenses, permits, food-safety requirements, labeling requirements, zoning restrictions, tax obligations, and other requirements.

Mama Llama makes no representation that a particular recipe or finished product qualifies for cottage-food production in a purchaser’s jurisdiction.

18. Refund Policy

Due to the digital nature of the Products and immediate access provided after purchase, all sales are final and non-refundable except where otherwise required by applicable law.

Denial of a commercial-use request does not entitle the purchaser to a refund because commercial-use rights are not included with the purchase.

19. Disclaimer

Mama Llama Products are provided for informational and educational purposes.

Baking results may vary based on ingredients, substitutions, equipment, altitude, climate, technique, proofing conditions, baking experience, environmental conditions, and other factors.

Mama Llama does not guarantee any particular baking, business, financial, social-media, sales, or other result.

20. Limitation of Liability

To the fullest extent permitted by applicable law, Mama Llama shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the purchase or use of a Product.

Nothing in these Terms excludes or limits liability where prohibited by applicable law.

21. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to conflict-of-law principles, except to the extent otherwise required by applicable law.

22. Changes to These Terms

Mama Llama may update these Terms from time to time.

Unless otherwise required by law or separately agreed in writing, updated Terms apply to purchases made on or after the effective date of the updated Terms.

An update to these Terms does not retroactively change the contractual terms applicable to an earlier purchase unless the parties validly agree otherwise.

Commercial permissions previously granted remain subject to the terms and limitations applicable to those permissions.

IMPORTANT NOTICE BEFORE PURCHASE

By completing your purchase, you acknowledge and agree that:

Your purchase does not include commercial-use rights.

If you want to sell baked goods made using the recipe, you must receive express written approval from Mama Llama before beginning commercial use.

Your location, geographic sales area, business identity, and sales channels may be considered when determining whether commercial permission will be granted.

Commercial approval is limited to the specific baker, business, business name, username(s), geographic area, sales channels, and intended use approved.

If your approved business name, branding, username, location, territory, sales channels, or business model materially changes, you must obtain approval for the change before continuing to rely on the prior commercial authorization.

Commercial approval does not include wholesale rights unless separately authorized.

Commercial permission does not grant permission to use Mama Llama’s branding, brand identity, product names, logos, trademarks, slogans, packaging, photographs, videos, marketing materials, or other brand assets.
